Terms of Service

1. Agreement to Terms

By accessing or using Kaison (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. "You" refers to the individual or organization accessing the Platform. "We," "us," and "our" refer to Kaison LLC.

2. Description of Service

Kaison is a deal intelligence platform for real estate investors. The Platform provides deal analysis, property tracking, expense management, document storage, tax preparation tools, and related services. The Platform is a tool to assist your decision-making — it does not provide financial, tax, legal, or investment advice. You are solely responsible for your investment decisions.

3. Accounts and Access

3.1. You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.

3.2. You may invite team members to your organization. You are responsible for their actions within your account. Role-based permissions (owner, admin, member, viewer) determine what actions team members can perform.

3.3. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Platform or other users.

4. Subscriptions and Billing

4.1. The Platform offers multiple subscription tiers with different feature access and usage limits. Current pricing is available at kaison.io. We may change pricing with 30 days notice to active subscribers.

4.2. Subscriptions are billed monthly through Stripe. You authorize recurring charges to your payment method. You may cancel at any time through the billing settings in your account.

4.3. Refunds are handled on a case-by-case basis. Contact [email protected] for refund requests.

4.4. Free trials provide full access for the trial period. No payment method is required to start a trial. If you do not subscribe before the trial expires, write access to your account will be restricted but your data will be retained for 90 days.

5. Your Data

5.1. Ownership. You own all data you upload to or create within the Platform, including but not limited to: property information, financial records, documents, receipts, invoices, analysis results, and any other content you provide ("Your Data"). We do not claim ownership of Your Data.

5.2. License to operate. You grant us a limited license to process, store, and display Your Data solely to provide the Platform's services to you. This includes running calculations, generating reports, performing OCR on uploaded documents, and using AI-assisted classification. We do not use Your Data to train machine learning models. If you opt in to Platform Intelligence (Settings > Privacy), anonymized and aggregated patterns from your completed deals (such as cost-per-square-foot ranges and timeline accuracy) may be used to improve platform-wide defaults and benchmarks. This aggregated data is stripped of all identifying information using k-anonymization (minimum 5 deals per data point) and cannot be traced back to your account. You may opt out at any time.

5.3. Data processing. The Platform processes Your Data on our servers to provide features including deal scoring, expense tracking, document classification, and tax reporting. This processing requires that our systems can read Your Data in order to compute against it. Uploaded documents are encrypted at rest after processing.

5.4. AI-assisted features. Certain features use third-party AI services (currently Anthropic's Claude) to classify documents, extract text from images, and provide analytical assistance. When using these features, relevant portions of Your Data are sent to the AI provider's API for processing. These API calls are subject to the AI provider's data handling policies, which do not include training on your data. You can disable AI-assisted features in your account settings.

5.5. Administrative access. Platform administrators may access Your Data for the following purposes only: providing customer support you have requested, troubleshooting technical issues, investigating security incidents, and ensuring platform integrity. All administrative access is logged in an immutable audit trail that records the administrator, the action taken, and the timestamp. We do not access Your Data for marketing, advertising, or any purpose unrelated to operating the Platform.

5.6. Data export. You may export Your Data at any time through the data export feature in your account settings. Exports include your properties, expenses, invoices, mileage, documents, and analysis history in standard formats.

5.7. Data deletion. You may request deletion of your account and all associated data through the account settings. Upon confirmed deletion, Your Data will be permanently removed from our active systems within 30 days. Encrypted backups containing Your Data may persist for up to 90 days before being purged from backup rotation.

5.8. Data retention after cancellation. If your subscription expires or is cancelled, we retain Your Data for 90 days to allow you to resubscribe and resume without data loss. After 90 days of inactivity with no active subscription, we may delete Your Data with 30 days prior email notice.

6. Security

6.1. We implement industry-standard security measures to protect Your Data, including: encryption in transit (TLS), encryption of documents at rest, bcrypt password hashing, API key hashing, role-based access controls, CSRF protection, rate limiting, and security headers.

6.2. Platform monitoring. The Platform operates an internal Security Operations Center (SOC) that monitors system health, API performance, error rates, and usage patterns. The SOC logs event types, timestamps, anonymized identifiers, and aggregate metrics. It does not log personally identifiable information, document contents, financial amounts tied to individual users, or full IP addresses. All SOC data is used exclusively for platform reliability, security incident detection, and operational improvement.

6.3. We conduct periodic security assessments of the Platform. We do not guarantee that the Platform is free from all vulnerabilities.

6.4. You are responsible for maintaining the security of your account credentials, API keys, and any integrations you configure.

6.5. If we discover a data breach affecting Your Data, we will notify you via the email address associated with your account within 72 hours of confirming the breach, consistent with applicable law.

7. Acceptable Use

You agree not to:

• Upload malicious files, malware, or content designed to exploit the Platform
• Attempt to access other users' data or accounts
• Use the Platform to store data unrelated to real estate investment operations
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use automated tools to scrape, crawl, or bulk-extract data from the Platform
• Resell access to the Platform without written authorization
• Use the Platform to violate any applicable law or regulation

8. API Access

8.1. API access is provided for programmatic integration with the Platform. API keys are scoped to your organization and subject to rate limits based on your subscription tier.

8.2. You are responsible for securing your API keys. Do not share API keys in client-side code, public repositories, or unencrypted communications.

8.3. We may revoke API access that violates rate limits, these Terms, or poses a security risk.

9. Intellectual Property

9.1. The Platform, including its scoring algorithms, user interface, design, documentation, and underlying code, is the intellectual property of Kaison LLC. Nothing in these Terms grants you rights to our intellectual property beyond the right to use the Platform as a subscriber.

9.2. "Kaison," "Kaison Intelligence Engine," and the Kaison logo are trademarks of Kaison LLC.

9.3. You retain all intellectual property rights in Your Data.

10. Disclaimers

10.1. THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2. Deal scores, risk flags, stress test results, and all other analytical outputs are estimates based on the data you provide. They are not guarantees of investment performance. Real estate investing involves risk, and you may lose money regardless of what the Platform indicates.

10.3. Tax-related features (expense tracking, deduction estimates, CPA export) are organizational tools, not tax advice. Consult a qualified tax professional for tax decisions.

10.4. We do not guarantee that the Platform will be available at all times without interruption.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAISON LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL KAISON LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR INVESTMENT RETURNS.

12. Indemnification

You agree to indemnify and hold harmless Kaison LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

13. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. The current version of these Terms is always available at kaison.io/terms.

14. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved in the state or federal courts located in Missouri.
